Cripps advises on international technology business sale
Cripps’ corporate team has advised the shareholders of tech company Arcapix Holdings Ltd on its sale to Kalray.
Founded in 2013 by Ben Leaver and Barry Evans, Arcapix Holdings is a leading provider of software-defined storage solutions for data-intensive applications. The business operates under the brands pixitmedia for clients in the media and entertainment industry and arcastream for clients in the AI and life sciences sector.
French-listed technology company Kalray, which is headquartered in Grenoble, France, supplies low power, fully programmable acceleration cards based on its unique patented family of data processors. These allow its customers to design the best solutions in fast growing sectors such as modern data centres, 5G, AI and Edge Computing and autonomous vehicles.
Kalray’s strategic acquisition of Arcapix strengthens its position as a key player in the fast-growing storage and intelligent data-processing market.
Post-acquisition, Arcapix will continue serving its existing customers, integrating Kalray’s NVMe acceleration cards and Kalray Flashbox™ into its offering, and the two companies plan to work together to develop products to provide even more efficient and intelligent solutions in the future.
Cripps managed all of the legal aspects of this complex international transaction, including the contract negotiation and disclosure exercises, working closely with French law firm Bignon Lebray. The team also advised on the exercise of EMI share options prior to the transaction completing.
Craig Bowers led the team which also included Beth Barns-Graham and Tom Newlyn.
