Cripps advises eCapital Commercial Finance Limited on the acquisition of Optimum SME Finance Limited
Cripps’ corporate team has advised eCapital Commercial Finance Limited on its acquisition of the entire issued share capital of Optimum SME Finance Limited, a fellow invoice finance provider.
The acquisition strengthens eCapital’s position in the asset-based lending market and expands its geographic footprint in the UK. Cripps acted as legal advisers to eCapital, providing a full-service solution encompassing corporate, employment, commercial, and property advice. This deal underscores Cripps’ expertise in the asset-based lending sector, marking another successful transaction completed for the eCapital group, following its management team’s sale to eCapital in 2019.
This pre-budget transaction was completed under tight timelines, with just four weeks from the signing of Heads of Terms to completion just a day before the budget announcement, demonstrating Cripps’ ability to deliver complex transactions within challenging deadlines.
David Tilling, CEO of eCapital Commercial Finance Limited, remarked, “Completed – bang on time! Genuinely, you guys are the best. We put a lot of trust in you, and you have delivered for us again. You progressed calmly and professionally and with a sense of humour during what must have been a super busy period for you. So thank you, truly”.
Rebecca Glazebrook, partner at Cripps, commented: “We were delighted to assist eCapital on this strategically important acquisition. We have worked with the team at eCapital for some time and we were able to adopt a collaborative approach to meet the tight timeframe. It was a pleasure to see the team pull together to deliver a successful outcome.”
Sian Webber, partner at Cripps, added: “This transaction highlights our ability to provide a comprehensive and seamless service across multiple practice areas. We enjoyed working with eCapital again and to support them in achieving their growth objectives in the asset-based lending sector.”
The Cripps team advising on the transaction included Rebecca Glazebrook, Sian Webber, Victoria Jackson, Edward Clark, Emma Saunders, Kathryn Rogers, Oliver Parsons, and Chehraz Fox.
